1. Acceptance of Terms

By accessing or using the TakaWise website located at takawise.com (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you and TakaWise ("we," "our," or "us"). We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

2. Description of Service

TakaWise is a pre-launch informational platform that provides:

• Real-time transfer rate comparison – a tool that displays and compares current exchange rates and transfer fees offered by third-party remittance providers for sending money to Bangladesh.
• Early access registration – the ability to submit your email address to join a waitlist and receive updates about the TakaWise product launch.
• Informational content – articles, guides, and data related to international money transfers.

TakaWise is not a money transfer operator, bank, financial institution, or payment service provider. We do not hold, transmit, or process funds on your behalf. All actual money transfers are conducted through third-party providers. We are not responsible for any transaction carried out with those providers.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

4. Early Access Registration

When you register for early access by submitting your email address, you agree that:

• You provide a valid email address that you own or are authorized to use.
• We may send you emails about the TakaWise product, including launch announcements, feature updates, and relevant remittance information.
• You can unsubscribe from these emails at any time by clicking the unsubscribe link included in each email or by contacting us directly.
• Registration does not guarantee access to any future product or service, nor does it create any contractual obligation on our part to deliver a specific product by any date.

5. Exchange Rate and Transfer Rate Information

The exchange rates and transfer fees displayed on the Service are sourced from third-party providers and are provided for informational purposes only. You acknowledge and agree that:

• Rates are subject to change at any time without notice and may not reflect the rate you actually receive when completing a transfer.
• We make no guarantee as to the accuracy, completeness, timeliness, or availability of rate data.
• The rates displayed should not be relied upon as financial advice. You should verify current rates directly with the applicable provider before initiating any transfer.
• We are not responsible for any financial loss arising from reliance on rate information displayed on the Service.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation.
• Submit false, misleading, or fraudulent information.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Use automated tools (scrapers, bots, crawlers) to extract data from the Service without our prior written consent.
• Transmit spam, malware, or other harmful or disruptive code.
• Engage in any conduct that restricts or inhibits any other person from using or enjoying the Service.
• Reproduce, duplicate, copy, sell, or exploit any portion of the Service without our express written permission.

We reserve the right to terminate or restrict your access to the Service for any violation of these rules, without notice and at our sole discretion.

All content on the Service — including but not limited to text, graphics, logos, icons, images, and software — is the property of TakaWise or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to sublicense, modify, copy, distribute, or create derivative works of any content without our prior written consent.

8. Third-Party Links and Services

The Service may contain links to third-party websites, remittance providers, or services that are not owned or controlled by TakaWise. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services. We strongly advise you to review the terms and privacy policies of any third-party services you visit.

The inclusion of a third-party provider in our rate comparison tool does not constitute an endorsement, recommendation, or approval of that provider by TakaWise.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) any information obtained through the Service will be accurate, complete, or reliable; or (c) defects in the Service will be corrected.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TAKAWISE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall our total aggregate liability to you for all claims arising out of or related to the Service exceed the amount you paid us (if any) in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless TakaWise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party right.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any dispute arising under these Terms that cannot be resolved informally shall be submitted to binding arbitration or the courts of competent jurisdiction as mutually agreed upon by the parties.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for any violation of these Terms. Upon termination, all rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination — including Sections 7, 9, 10, 11, and 12 — shall survive.

14. Changes to These Terms

We may revise these Terms from time to time. We will indicate the date of the most recent revision at the top of this page. If the changes are material, we will make reasonable efforts to notify registered early-access users by email. Your continued use of the Service after any revision constitutes your acceptance of the new Terms.
